Terms and Conditions | Rosh-Will LLC

Version 2025-01-13. These Terms and Conditions ("Terms") are an agreement between Rosh-Will LLC ("Rosh-Will," "we," "us," or "our") and the person or business using our website or services ("Client," "you"). By using roshwill.com, signing a card authorization, or paying an invoice, you agree to these Terms.

1. Services

Rosh-Will provides copy editing and proofreading services, including non-fiction, business, website, academic, UK English, Americanizing/Anglicising and localization editing, plus advice, feedback, and aftercare. The exact service for each order is described on your quote, invoice, and authorization.

2. Quotes and pricing

Editing is priced per word: Basic $0.50 per word (multiple reviews and revisions before final submission) and Premium $0.70 per word (multiple reviews before final submission, plus one week of post-submission edits).
Your quote equals your word count times the per-word rate for the level you choose. The amount shown on your invoice and authorization is the amount you pay.
Prices are in U.S. dollars and exclude any applicable taxes, which are shown on the invoice where required.

3. Your responsibilities

Provide accurate word counts and the final document you want edited.
Provide any style preferences (for example US or UK English) before work begins.
Respond to questions and review drafts within a reasonable time.

4. Invoices and payment

Payment is due on receipt of the invoice unless stated otherwise.
We accept Visa, Mastercard, American Express, and Discover through our secure online payment page.
Signing an authorization, submitting a payment, and receiving cleared funds are separate events. An invoice is treated as paid only when our payment processor confirms a successful charge.
Work begins once payment is received, unless we agree otherwise in writing.

5. Credit card authorization

Before any card payment, the cardholder (or a person authorized by the cardholder) must complete and electronically sign our Credit Card Authorization Form for that specific invoice. The payment page cannot be used without a valid signed authorization.
Each authorization is tied to one invoice, one service, and one exact amount, and authorizes a single charge. A changed amount, service, or invoice requires a new authorization.
An unused authorization expires after 30 days.
The completed authorization form shows the card type, last four digits, and expiration date. It never contains your full card number or card security code. Card numbers are entered only on the payment page and processed by our payment provider.
The completed form is issued only after your payment is approved, and the same PDF is emailed to you and to us with your receipt. If a payment is declined or fails, no form is issued.

6. Electronic signatures and record integrity

You agree to the use of electronic signatures and records under the ESIGN Act and the Uniform Electronic Transactions Act.
When you sign, we record your name, drawn signature, email, and the date and time (UTC), together with the terms presented. A private technical log is kept separately for fraud prevention and is not part of the form.
Each completed form receives a unique reference and a SHA-256 fingerprint of the exact file. Anyone can confirm a copy is the original and unaltered at roshwill.com/verify.

7. Delivery and revisions

We agree a delivery period before starting, based on length and complexity, and show it on your invoice.
Revisions are included as described for your service level. Premium includes one week of post-submission edits. Additional or out-of-scope revisions may be quoted separately.
A project is complete once the final edited files are delivered and acknowledged.

8. Refunds

If you have paid but not yet submitted your document for editing, you may request a refund, because work has not begun.
Once you have submitted your document for us to work on, the fee is non-refundable, because the service has begun, except as stated here or required by law.
If you are charged in error, including a duplicate charge or an amount different from your signed authorization, we will refund the difference promptly after confirming it.
Approved refunds go to the original card and may take 5 to 10 business days to appear.

9. Payment questions and disputes

If you have a concern about a charge, please contact us first at info@roshwill.com or +1 (737) 386-2096. We will respond within five business days and work with you in good faith.
Nothing in these Terms limits any right you have under law or your card issuer's rules, including the right to dispute a charge.
If a charge is disputed, you agree we may provide the issuer and our processor with the signed authorization, invoice, and communications as evidence of the transaction.

10. Confidentiality

We keep your documents and information confidential and use them only to deliver your service, except where disclosure is required by law or to our payment processor to complete or defend a transaction.

11. Intellectual property

You keep ownership of your original work. Once the related invoice is paid in full, you own the edited deliverables we create for you.

12. Limitation of liability

To the fullest extent allowed by law, Rosh-Will is not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the fees you paid for the specific service giving rise to the claim.

13. Governing law

These Terms are governed by the laws of the State of Mississippi and applicable U.S. federal law. Before any legal proceeding, both parties agree to try in good faith to resolve the dispute by written notice for at least 30 days.

14. Changes to these Terms

We may update these Terms from time to time. The version and date at the top show the current version. A signed authorization remains governed by the version shown on it.
